Publication shows the transformation of privatization from reformatory process into the instrument of enrichment of some group of people who were close to the power.

The work presents a theoretical framework, and offers a tentative analytical framework for building strategies for combating systemic corruption of the kind that is observed in Ukraine. It argues that, as in some other countries undergoing the process of modernization, corruption in Ukraine plays an important social role by filling gaps between formal (often impracticable) rules, and informal ones.

The paper analyzes the effectiveness of actions undertaken in Ukraine in a general framework of successful regulatory policies implemented in other parts of the world. Based on this analysis we developed concrete public policy measures aiming to increase the quality of the regulatory environment in the country, which, in turn, should secure Ukraine’s further movement toward a real, functioning market economy.

The work presents a short review of contemporary civil laws of Ukraine. In the result of analisys the authors have come to the conclusion that Ukraine has two different codes regulating the same relations. This fact represent the major difference between the law sistem of Ukraine and the one of developed countries.

The presentation on political-economic mechanisms of reforms under the prevailing rent-seeking, as in the post-Soviet transition (with Ukraine as an example), prepared for the Ronald Coase Institute’s Workshop in Institutional Analysis (Barcelona, Spain, September 2005), and amended with use of the comments and feedback from faculty and participants.
